PRECISION GLOBAL KONEX LIMITED (referred to below as PGK)

These terms and conditions overrule any terms and conditions on customer purchase orders, existing or future.

No modifications or exclusions will be accepted unless agreed in writing by PGK.

1.   Settlement Terms

1.1.   Within 30 days from date of invoice (unless agreed terms otherwise in writing), after which time PGK reserves the right to add interest of 3% over base rate.

1.2.   IMPORTANT: Damage, shortage or non-delivery of goods must be notified within seven days from dispatch date.

2.   Price

2.1.   Prices quoted for equipment and parts delivered by PGK are valid for 30 days only (unless stated otherwise), after which period they will be subject to confirmation or variation by PGK to the customer.

2.2.   Rates of value added tax, where applicable, will be charged at the rate prevailing at the date of dispatch of the goods to the customer.

2.3.   If costs occur prior to starting any work which is outside the control of PGK then at the discretion of PGK these can be added to the final invoice.

2.4.   Discounts given on certain sales will only be valid if the full amount is paid within standard trading terms, i.e. 30 days from invoice date.

3.   Delivery

3.1.   Time of delivery and/or installation shall not be of the essence of the contract and whilst every effect will be made to meet a delivery or installation date, in circumstances where PGK has to obtain goods or services from a manufacturer or supplier, the unforeseen delays occurring through causes beyond the reasonable control of PGK shall not constitute grounds for cancellation of the order by the customer or compensation to the customer.

3.2.   Whereas in circumstances mentioned in clause (3.1) above, goods are subject to carriage charges for transport from site of manufacture to PGK premises. The goods will be subject to extra carriage if this charge is above our quoted price for carriage.

3.3.   PGK will accept no claims of compensation for any delays on goods or work carried out which may arise through delays of manufacturers/suppliers or any third party unconnected with PGK.

4.   Title of goods

4.1.   Until the full purchase price is paid to PGK the title of the goods shall remain vested in PGK and failure to pay any part of the purchase price in full or comply with any provisions hereon shall give PGK the right to take possession of the goods without notice and without liability and at its option to avail itself of any legal remedy in addition to re-possessing the goods.

4.2.   Notwithstanding the title has not passed, the risk of loss or damage shall be the purchasers as from the date of delivery of the goods at the site nominated by the purchasers.

4.3.   PGK shall have the right to enter any premises without notice and without hindrance to enable them to take possession of the goods covered by its title of goods clause and will not be held responsible for any subsequent damage or loss to the customer in carrying out this action.

5.   Cancellation of goods

5.1.   After acceptance of an order by PGK the customer shall not be entitled to cancel this contract without PGK’s written consent without prejudice to the generality of the above the company may consent to such cancellation and if PGK so consents, the customer shall tender with a notice of cancellation.

5.3.   Where the notice is received within 14 days of the order a sum representing 35% of the total cost of the order and any other expense incurred by PGK.

5.4.   Where the notice is received after the expiration of 14 days from the order a sum representing 55% of the cost of the order and any other expense incurred by PGK.

5.5.   If goods or services ordered by the customer require PGK to subcontract or to purchase from a third party all such cost will be charged to the customer.

6.   Return of goods

6.1.   Goods may only be returned with PGK consent in writing and on such return, they will be credited at the invoice price less 70% plus the cost of handling and all documentation in connection with such return.

7.   Errors

7.1.   PGK will not accept responsibility for any errors resulting from incorrect information or drawings supplied to them, all details taken by PGK and then sent to the customer for verification will, when returned by the customer, be assumed to be correct. If the customer does not return said drawings or information and receive a signed acknowledgement of the items it is assumed that we can continue with the drawings or information as if they had been approved.

7.2.   Guarantees are only given on new products subject to clarification in writing and exclude any unfair wear and tear and adverse conditions.

7.3.   The liability of the company shall be limited only to the replacement of material and parts. No liability will be accepted for any loss, damage or injury for any work carried out by PGK or any goods supplied, any replacement of parts or service shall be the sole discretion of PGK.

8.   Minimum order charge

8.1.  PGK operate a minimum order charge which currently stands at £100.00 however this may be reviewed and altered at PGK discretion and will be updated in these terms and conditions.
